Business Terms - www.Malaga.today

Supplier: Haitham Khalifa, enskild firma (sole trader), trading as www.Malaga.today. Registered in Sweden. Address: Estlandsgatan 1 C, 214 31 Malmö, Sweden. Email: Billing@Malaga.today. Phone: +34 614 821 331. Swedish VAT No.: SE840201209301.

Effective: 4 October 2026. These terms apply to every business customer of www.Malaga.today. The corresponding agreement (MGA-series) and offer are governed by this document.

1. B2B only - no consumer rights

These terms apply only to business customers acting for trade, craft, profession or other commercial purposes. Consumer protection law (including the EU Consumer Rights Directive 2011/83/EU and equivalent national rules) does not apply. By accepting an offer or signing an agreement, the customer confirms it acts for business purposes.

2. Prices exclude VAT

Unless stated otherwise on the offer page, all prices exclude VAT. The VAT treatment shown on the invoice applies: 25% Swedish VAT, the EU reverse-charge mechanism (Art. 196 Council Directive 2006/112/EC), or 0% outside scope. When Swedish VAT is charged in EUR, the invoice also shows the VAT amount in SEK using the European Central Bank reference rate for the invoice issue date.

3. Payment in advance, no refunds

Fees are due in advance on the offer page by PayPal or card via PayPal to Billing@Malaga.today. The Supplier may use a third-party payment processor. Fees are non-refundable, except where the Customer terminates for the Supplier's uncured material breach. Pro-forma invoices (MTP-series) are payment requests, not VAT invoices. A final VAT invoice (MT-series) is issued after payment is received.

4. Term, auto-renewal and termination

The initial term is 12 months from the date the customer's venue page goes live. The agreement renews automatically for successive 12-month terms unless either party gives at least 30 days' written notice before the end of the then-current term. Fee changes for a renewed term are notified at least 30 days before renewal. Either party may terminate for material breach not fixed within 14 days of written notice.

5. Suspension for non-payment

The Supplier may suspend services after 7 days' written notice if fees remain unpaid. Suspension does not relieve the Customer of fees already due.

6. Service-level changes

The Supplier may change features, technology or workflows as long as the overall service level is preserved. Material reductions are notified at least 15 days in advance under §11 (P2B).

7. Customer content and indemnity

The Customer warrants it has the right to all content it supplies (photos, text, trademarks, logos) and licenses it to the Supplier for the term. The Customer indemnifies the Supplier against any third-party claim arising from content the Customer supplied.

8. Liability

The Supplier has no liability for indirect, incidental, special or consequential loss (including loss of revenue, profit, business, data or goodwill). Total aggregate liability is capped at the fees paid by the Customer in the last 12 months, except for fraud, gross negligence, or where the law forbids limits.

9. No ranking or traffic guarantee

The Supplier does not guarantee any specific ranking position, traffic volume, click-through rate, conversion rate or revenue outcome. Visibility depends on third-party search engines, AI assistants and platforms outside the Supplier's control. Organic ranking is never paid for.

10. Force majeure

Neither party is liable for delay or failure caused by events outside its reasonable control, including internet or hosting outages, third-party platform changes, regulatory changes, sanctions, war, civil unrest, pandemic, or natural disaster. The affected party notifies the other within 14 days and the obligations are suspended for the duration of the event.

11. P2B ranking transparency (Regulation (EU) 2019/1150)

Ranking parameters on www.Malaga.today are explained in the Schedule below. Material changes to ranking parameters are notified at least 15 days in advance and the Customer may terminate without penalty within 30 days of the notice. Suspension or other restrictions affecting the Customer are accompanied by a statement of reasons on request.

12. Governing law and forum

Swedish law applies. The forum is Malmö District Court (Malmö tingsrätt), Sweden. Before any court action, the parties attempt 30 days of good-faith talks.

13. Acceptance

By ticking the acceptance box on the offer page, paying, or signing an agreement, the Customer confirms it has read, understood and accepted these Business Terms. The Supplier keeps an acceptance record (company details, date, time, IP).

Schedule 1 - Featured placement

Featured placement is an optional add-on at €20.00/month or €200.00/year. Venues with Featured placement appear first in their town and category pages and are labelled "Featured". Featured does not affect organic ranking. Featured is not included in the Growth or Priority plans; it is purchased separately. Some venues (Dublín Bae & Co, Restaurant Miyume, Trattoria Giro) purchased Featured as part of their agreement and keep it for the term at no additional cost.

Schedule 2 - Ranking parameters

Order on www.Malaga.today town and category pages:

1. Venues with the Featured add-on first, then 2. Owner-verified venues, then 3. Other venues by relevance, completeness and distance.

Within each group, venues with photos are shown first. The Supplier does not edit organic ranking for payment.

Schedule 3 - Mandatory VAT fields (EU VAT Directive Art. 226 / Swedish VAT Act ch. 17)

Every invoice issued contains, as a minimum:
